1          About this Privacy Policy

In this Privacy Policy, 'us' 'we' or 'our' means Panorama Institute Limited (ACN 702 984 389). We are committed to respecting your privacy. Panorama Institute Limited operates Equity Clear, an initiative to improve transparency and reporting on access to investment capital.

Our Privacy Policy sets out how we collect, use, store and disclose your Personal Information.  

By providing Personal Information to us, you consent to our collection, use and disclosure of your Personal Information in accordance with this Privacy Policy and any other arrangements that apply between us. We may change our Privacy Policy from time to time by publishing changes to it on our website at www.equityclear.com.au. We encourage you to check our website periodically to ensure that you are aware of our current Privacy Policy.

2          Definitions

In this Privacy Policy:

Equity Clear Reporting Platform means the online platform located at www.equityclearreporting.com.au, through which participating organisations submit investment pipeline data for Equity Clear reporting purposes.

Personal Information has the meaning given in the Privacy Act and includes information or an opinion about an individual that is reasonably identifiable. For example, this may include your name, age, gender, postcode and contact details.

Sensitive Information has the meaning given in the Privacy Act.

3          What Personal Information do we collect?

We may collect the following types of Personal Information:

(a)        name;

(b)        mailing or street address;

(c)        email address;

(d)        telephone number and other contact details;

(e)        your device ID, device type, geo-location information, computer and connection information, statistics on page views, traffic to and from the sites, ad data, IP address and standard web log information;

(f)         details of the products and services we have provided to you or that you have enquired about, including any additional information necessary to deliver those products and services and respond to your enquiries;

(g)        any additional information relating to you that you provide to us directly through our website or reporting platform or indirectly through your use of our website or reporting platform or online presence or through other websites or accounts from which you permit us to collect information;

(h)        information you provide to us through surveys or market research;

(i)         information submitted by participating organisations through the Equity Clear Reporting Platform, including information about companies, funding applications and founding teams where that information identifies, or could reasonably identify, an individual; or

(j)         any other Personal Information that may be required in order to facilitate your dealings with us.

We may collect these types of Personal Information either directly from you, or from third parties.

We may collect this information either directly from you, or from third parties, including organisations participating in Equity Clear reporting and service providers operating the Equity Clear reporting platform on our behalf.

We may collect this information:

(A)       when you register on our website;

(B)       when you communicate with us through correspondence, chats, email, or when you share information with us from other social applications, services or websites;

(C)       when you interact with our sites, services, content and advertising; or

(D)       through information submitted by organisations participating in Equity Clear reporting.

In addition, when you apply for a job or position with us we may collect certain information from you (including your name, contact details, working history and relevant records checks) from any recruitment consultant, your previous employers and others who may be able to provide information to us to assist in our decision on whether or not to make you an offer of employment or engage you under a contract. This Privacy Policy does not apply to acts and practices in relation to employee records of our current and former employees, which are exempt from the Privacy Act.

Sensitive Information

Under the Privacy Act and other applicable law, “Sensitive Information” includes but is not limited to information or an opinion about an individual’s race or ethnic origin, religious belief, or criminal record and also includes health, genetic or biometric information about an individual.

In certain circumstances, when you use our Services, we may collect Sensitive Information. We will only use Sensitive Information for the primary purpose it was collected, with your consent or where required or authorised by law.

4          Personal Information and consent of third parties

From time to time, you may provide us, and we may collect from you, Personal Information of a third party. Where you provide us with Personal Information about a third party, you are responsible for obtaining any consent required by law and ensuring that the third party has been appropriately informed about the disclosure of their information to us. This includes informing them of the purpose of collection, how their information will be used, and their rights regarding access and correction of their information.

When you provide us with Personal Information about a third party, you represent and warrant that you have complied with these requirements.

5          How do we collect, hold, use and disclose Personal Information?

We may collect, hold, use and disclose your Personal Information for the following purposes:

(a)        to enable you to access and use our website and services;

(b)        to operate, protect, improve and optimise our website and services, business and our users’ experience, such as to perform analytics, conduct research and for advertising and marketing;

(c)        to operate the Equity Clear reporting framework, including validating submissions, matching and de-duplicating records, analysing data and producing reporting, insights and benchmarking;

(d)        to send you service, support and administrative messages, reminders, technical notices, updates, security alerts, and information requested by you;

(e)        to send you marketing and promotional messages and other information that may be of interest to you, including information sent by, or on behalf of, our business partners that we think you may find interesting;

(f)         to administer surveys or promotional activities or events sponsored or managed by us or our business partners;

(g)        to comply with our legal obligations, resolve any disputes that we may have with any of our users, and enforce our agreements with third parties; and

(h)        to consider your employment application.

We may disclose Personal Information to authorised third-party service providers who assist us with data processing, analysis, research and reporting, including providers that operate the Equity Clear Reporting Platform on our behalf. These providers process information for authorised purposes, subject to applicable confidentiality, security and contractual requirements.

De-identified data

We may generate or receive de-identified or anonymised data, including through the Equity Clear Reporting Platform. Where that data does not identify an individual and is not information from which an individual could reasonably be identified, it is not Personal Information and this Privacy Policy does not restrict our use of it.

We may use, analyse, combine and disclose that data with research partners and other third parties for research, analytical, reporting, benchmarking, advocacy and product development. This may include combining it with other datasets and preparing aggregated statistics, insights and reports for publication, provided the resulting information does not reasonably identify individuals or disclose confidential participant pipeline information.

We do not seek to re-identify de-identified or anonymised data, and we do not combine it with other information we hold for the purpose of identifying an individual. Where we receive de-identified or anonymised data from a third party, we take reasonable steps to satisfy ourselves that it has been de-identified or anonymised before it is disclosed to us.

6          Do we use your Personal Information for direct marketing?

We and/or our carefully selected business partners may send you direct marketing communications and information about our service or products. This may take the form of emails, SMS, mail or other forms of communication, in accordance with the Spam Act and the Privacy Act. You may opt-out of receiving marketing materials from us by contacting us using the details set out below or by using the opt-out facilities provided (eg an unsubscribe link).

7          To whom do we disclose your Personal Information?

We may disclose Personal Information for the purposes described in this privacy policy to:

(a)        our employees and related bodies corporate;

(b)        third party suppliers, software providers and service providers (including providers of cloud, hosting, analytics and communications tools used to support the operation of our websites and/or our business, and in connection with providing our products and services to you);

(c)        marketing or advertising providers;

(d)        professional advisers, dealers, agents, auditors, our insurers and insurance brokers;

(e)        payment systems operators (eg merchants receiving card payments);

(f)         our existing or potential agents, business partners or partners;

(g)        our sponsors or promoters of any competition that we conduct via our services;

(h)        anyone to whom our assets or businesses (or any part of them) are transferred;

(i)         specific third parties authorised by you to receive information held by us;

(j)         courts, tribunals, government agencies, regulatory bodies and law enforcement agencies, or as required, authorised or permitted by law; and

(k)        technology and service providers that support our operations, including providers of hosting, data processing, analytics, communications and AI-enabled services.

(l)         Personal Information submitted through the Equity Clear Reporting Platform is subject to additional restrictions on access, use and disclosure, as set out in the applicable Equity Clear data handling and retention policy.

8          Disclosure of Personal Information outside Australia

Personal Information submitted through the Equity Clear Reporting Platform is required to be stored, processed and accessed within Australia, in accordance with the platform's data-handling and security arrangements.

In operating our other activities, we may use third-party service providers, including providers of email, communications, website hosting and administrative systems, that store or access Personal Information outside Australia.

Where we disclose Personal Information to overseas recipients, we will take reasonable steps to ensure that it is handled in accordance with applicable Australian privacy laws.

9          Using our website and cookies

We may collect Personal Information about you when you use and access our website.

While we do not use browsing information to identify you personally, we may record certain information about your use of our website, such as which pages you visit, the time and date of your visit and the internet protocol address assigned to your computer.

We may also use 'cookies' or other similar tracking technologies on our website that help us track your website usage and remember your preferences. Cookies are small files that store information on your computer, TV, mobile phone or other device. They enable the entity that put the cookie on your device to recognise you across different websites, services, devices and/or browsing sessions. We may hold your Personal Information in electronic or hard copy form. We take reasonable steps to protect your Personal Information from misuse, interference and loss, and from unauthorised access, modification or disclosure.

Our security measures include access controls, secure storage and transmission of information, and administrative and technical safeguards appropriate to the nature of the information we hold.

Additional security measures apply to information submitted through the Equity Clear Reporting Platform, including encryption, role-based access controls, separation of participating organisations' data, and restrictions on access to identifiable reporting information.

While we take reasonable steps to protect Personal Information, we cannot guarantee its absolute security.

Our website may contain links to websites operated by third parties. Those links are provided for convenience and may not remain current or be maintained. Unless expressly stated otherwise, we are not responsible for the privacy practices of, or any content on, those linked websites, and have no control over or rights in those linked websites. The privacy policies that apply to those other websites may differ substantially from our Privacy Policy, so we encourage individuals to read them before using those websites.

12       Accessing or correcting your Personal Information

You can access the Personal Information we hold about you by contacting us using the contact details set out in section 14 below. Sometimes, we may not be able to provide you with access to all of your Personal Information and, where this is the case, we will tell you why. We may also need to verify your identity when you request your Personal Information.

If you think that any Personal Information we hold about you is inaccurate, please contact us and we will take reasonable steps to ensure that it is corrected.

Where Personal Information has been submitted through the Equity Clear Reporting Platform by a participating organisation, we may need to coordinate with that organisation to respond to an access or correction request.

If you wish to make a complaint about the way we have handled your Personal Information, you can contact us using the contact details set out in section 14 below. Please include your name, email address and/or telephone number and clearly describe your complaint. We will acknowledge your complaint and respond to you regarding your complaint within a reasonable period of time.
